Clause 1 — Promotion Details, Concept and Participation

The SIP. SCAN. SCORE COCA-COLA NEPAL FIFA WORLD CUP 2026TM PROMO CAMPAIGN (“Promotion”), is a consumer promotion by Bottlers Nepal Ltd. (BNL) & Bottlers Nepal (Terai) Ltd. (BNTL) (“BNL & BNTL”), wherein individuals, upon scanning the QR Code on the Promotion Products or visiting the Promotion Website (as defined hereinbelow) can participate and win Prize(s) (as defined in Clause 7) by registering on the Promotion Website and performing the activities (as detailed in Clause 6) as provided, post such registration, in accordance with the terms and conditions mentioned herein.

The Promotion shall be valid for the individuals residing in Nepal ("Promotion Territory") and shall be accessible upon scanning the QR code provided in the label of 250ml and 500ml PET bottle of brand "Coca-Cola"; ("Promotion Products"). By participating in this Promotion, the Eligible Persons as per Clause 5 (each a "Participant") accepts and agrees to abide by these terms and conditions of the Promotion ("Promotion Terms").

It is hereby clarified that the Participant may participate in the Promotion multiple times, but he/she shall be eligible to win the "Grand Prize" only once, per mobile number during the Promotion Period. Where an individual owns more than one mobile number and wins multiple Grand Prizes, in that case only the first winning will be awarded, and remainder of the Prizes will be revoked.

Promotion is advertised and promoted, inter alia, through media including radio, digital media including television (news and other channels) print media, Facebook, YouTube, point of sale materials, print publicity through banners, posters, public announcements, website, and other available media.

The Promotion is subject to all applicable laws, rules, regulations, policies, conventions of Nepal.

These Promotion terms and conditions ("Terms") will be hosted at https: www.cokenepal.com/football ("Promotion Website").

Clause 2 — BNL & BNTL and Partners

This Promotion is sponsored and organized by Bottlers Nepal Ltd. (BNL) Balaju Industrial District, Balaju, Kathmandu; and Bottlers Nepal (Terai) Ltd. (BNTL) Bharatpur, Chitwan, Nepal ("BNL & BNTL").

AND

The operational and logistics support of the Promotion is managed by Prisma Advertising, a company governed under the Companies Act, having its registered office at Setopul, Maitidevi, Kathmandu (hereinafter referred to as "Agency").

AND

Max Media Pvt. Ltd., a company incorporated in Nepal, having its registered office at Chakupat, Lalitpur is responsible to ensure OTP verification service and any other related matters.

AND

AMP Network Pvt. Ltd., a Company incorporated under the laws of Nepal having its registered office at Kalanki, Kathmandu is the technology partner of BNL & BNTL who will be operating the system for managing support for the purpose of this Promotion.

Clause 3 — Deemed Acceptance of Terms and Conditions

Entry and participation in this Promotion will be deemed unconditional and unequivocal acceptance of these Terms and Conditions, including any modifications, revisions, and amendments thereto. The decisions of BNL & BNTL shall be final and binding on the Participants in all matters related to the Promotion. Further, the Participants recognize that these Terms and Conditions may be modified by BNL & BNTL from time to time without any prior/public notice by posting the applicable terms and conditions on the Promotion Website. BNL & BNTL also reserves the right to cancel or terminate the Promotion at any stage without assigning any reasons whatsoever. Successfully entering the Promotion and winning the Prize is subject to all requirements set forth herein.

Clause 4 — Promotion Period

This Promotion will commence on 15^th April 2026 and will continue until 20^th July 2026, both days inclusive ("Promotion Period"). Grand Prize will be awarded until 19^th May 2026, and giveaway of other FIFA World Cup merchandise items will continue until the end of the campaign period. The valid timings for receiving entries are between 12:01 AM BST and 11:59 PM BST each day of the Promotion Period ("Promotion Timings").

Any entries received outside the Promotion Timings and after the end of Promotion Period shall not be eligible for the Prize(s) and shall not be carried forward to any other promotional scheme ahead.

Stock of The Coca-Cola Company Products without the Promotion offer will also be available across Nepal. Further, certain stock of The Coca-Cola Company Products containing the Promotion offer may be available before the Promotion Period or may continue to be available even after the Promotion Period. However, prospective Participants understand and agree that they will not be permitted to participate in the Promotion before commencement of the Promotion Period and after the expiry of the Promotion Period and further, agree not to raise any claim or complaint against BNL & BNTL or its Partners in this respect.

BNL & BNTL reserves the right to change, defer, alter or cancel this Promotion, in part or in full, or to change any or all of the terms and conditions applicable to the Promotion, without giving any prior intimation or notice of any kind. BNL & BNTL shall not be liable for any consequential losses or damages. Any decision of BNL & BNTL in this regard, and in general with respect to this Promotion and the applicable terms and conditions, shall be final, binding, and non-offerable.

Clause 5 — Eligibility Criteria

Subject to the criteria of Promotion Territory, entry and participation in this Promotion is open to individuals who satisfy each of the following criteria ("Eligible Persons"):

• Must have attained 18 (eighteen) years of age.
• Possess a valid mobile phone number registered with an active SIM card.
• Have not been arrested or convicted of any crime or been the subject of any criminal investigation.
• Bear a good moral character and have not been implicated or named in any legal proceedings (either civil or criminal); and
• Are not management, employees, directors or contractors, or the family of the management, employees, directors, or contractors of BNL & BNTL, Prisma Advertising, Max Media Pvt. Ltd., AMP Network Pvt. Ltd. and their related entities or other agencies, firms or companies associated with the Promotion.

For the sake of clarity, this Promotion is not open to Non-Resident Nepali (NRNs), Overseas Citizens of Nepal (OCNs) and Persons of Nepali Origin (PNOs) who are not residing in Nepal.

Eligible Persons participating or seeking to participate in the Promotion shall individually be referred to as "Participant" and collectively as "Participants".

By participating in the Promotion, each Participant hereby agrees to receive:

1. Details and information on this Promotion, on their respective mobile phones, through SMS or voice calls, during the entire tenure of the Promotion.
2. Updates and announcements concerning BNL & BNTL's products and promotions, on their respective mobile phones (through SMS or voice calls) and Email Ids.

("Marketing Communication")

The Participant may opt-out of receiving Marketing Communication from BNL & BNTL at any time by emailing or calling, using the contact information listed below. In such a request, the Participant must indicate that he/she wishes to stop receiving marketing communication from BNL & BNTL.

The Participant hereby agrees that he/she has read and understood the Privacy Policy mentioned on the Promotion Website and provides his/her unconditional consent to collection of his/her personal information namely Name, Mobile Number, Email ID, Address and Location. Further, the Participant hereby provides his/her consent for storage and processing of his/her personal information collected for the purposes of sending communication including but not limited to Marketing Communication.

Personal Information: For the purposes of this Promotion, "Personal Information" shall include, without limitation, name, mobile number, address, date of birth, nationality and such identification or travel related details as may be required solely for verification and fulfilment of the Prize, including passport details, visa status information and Taxpayer Identification Number (TIN), where applicable.

Collection and Purpose: The Participant expressly agrees and consents to the collection, storage, processing and use of such Personal Information solely for the purposes of administering the Promotion, validating entries, selecting winners and coordinating fulfilment of the Prize.

Limited Sharing with Third Parties: The Participant further expressly agrees and consents that BNL & BNTL may share such Personal Information with its authorised third-party service providers, including the Agency and travel partners, strictly on a need-to-know basis, only for the limited purpose of coordinating flight bookings, hotel accommodation and travel related support in connection with the Prize.

No Passport and VISA Assistance: The Participant expressly acknowledges and agrees that neither BNL & BNTL nor any of its third-party service providers, including the Agency, shall provide any assistance, facilitation or support in relation to procurement, renewal, correction or issuance of passport, VISA or any other immigration or travel documentation.

Obtaining and maintaining valid passport, visa and all other travel and immigration documents shall be the sole responsibility of the Winner.

BNL & BNTL and its Partners shall not be responsible or liable for rejection, delay, non-issuance, expiry or invalidity of any passport, visa or other travel document, or for the Winner's inability to travel for any reason whatsoever. In such event, the Winner shall forfeit the Prize without any claim, compensation or substitution.

All Personal Information shall be handled in accordance with applicable laws and shall not be used for any purpose other than as expressly stated herein.

Clause 6 — Participating in the Promotion

Participants wishing to enter the Promotion can do so only through the website www.cokenepal.com/football. The Participant can participate in the Promotion subject to the following terms:

Steps to Participate in the Coca-Cola Promotion:

Step 1: Purchase a 250ml or 500ml PET Promotional Product of Coca-Cola.

Step 2: Scan the QR code located on the front side of the bottle's label to visit the Promotion Website.

Step 3: The Participant must enter their full name and mobile number and will need to agree the terms and conditions for signing up. After signing up, the Participant will receive an OTP via SMS on their registered mobile number for verification purposes.

Step 4: To participate in the campaign, the Participant needs to enter the 10-digit alphanumeric Unique Code found under the bottle label (excluding "0" ("Zero") and "O" (alphabet "O")).

Step 5: If the Participant sends correct unique code, he will receive one quiz, which must be answered correctly. Each unique code will allow a participant to enter the quiz only once. To participate multiple times, a participant must redeem multiple unique codes.

Step 6: After a valid Participation, Winners will be selected randomly from the pool of eligible Participant.

Clause 7 — Prizes and Winners

During the Promotion Period, Participants based on valid participation as per the Terms of Clause 6, shall be eligible to win the following Prize(s):

Winners each week:

• 1 (one) Grand Prize Winner will win a FIFA World Cup 2026 all expenses paid travel and match ticket experience to Canada per week till week 7 (seven) (Total 7 hospitality packages will be given away to 7 winners).

NB. One mobile number can only win one Grand Prize.

• Merchandise items: Weekly FIFA World Cup merchandise will be provided to the selected winners. However, number of merchandise winners may vary each week at the discretion of BNL or BNTL.

a) Winner Selection Process:

• Random selection at the end of each week to award Grand Prize or FIFA World Cup merchandise item to the selected winners.
• Eligibility requires: Valid code and quiz participation, and compliance with campaign terms and conditions.

b) Notification

• Winners receive an official SMS notification.
• SMS includes collection instructions.

c) Collection Center Locator

• Winners are notified through SMS.
• Winners need to collect their prize from the suggested location.

d) Verification at Collection point: Prize Winners must be physically present with proper documents, such as — SMS confirmation, Government approved photo ID: NID that was used to register the phone number / Passport / others, registered mobile number verification, OTP / PIN verification as required by BNL & BNTL, the Promotion Product bottle label with the 10-digit unique code to collect & validate their Prize in person.

e) BNL & BNTL will not bear any warranty, complaint, or servicing costs and shall not be liable for any such expenses.

Clause 8 — Selecting and Contacting Eligible Winners

a) The winner(s) of the Promotion ("Eligible Winner") will be decided through the process mentioned in clause 6 above from all valid entries.

b) If an Eligible Winner is not reachable, busy, unavailable or not interested, BNL & BNTL will keep the Prize/s for 30 days from the date the Eligible Winner was contacted. During these 30 days if the Eligible Winner fails to collect the Prize, then the Eligible Winner will not be entitled for the Prize.

c) The Eligible Winners may receive the Prize subject to the terms and conditions detailed below:

(i) In the event the Eligible Winner's number is busy, unreachable, or the Eligible Winner does not attend the call, Five (5) more attempts will be made to reach the Eligible Winner within 5 days after being chosen. If even on the last attempt, the Eligible Winner does not attend the call, or is unreachable, or confirms that he/she is not interested in continuing in the Promotion, the Eligible Winner's participation in the Promotion shall come to an end, and he/she shall not be eligible to receive any Prize. An SMS confirming the cancellation of Prize will be sent to him/her. Once an Eligible Winner has been sent an SMS confirming cancellation, no request for reconsideration shall be entertained.

(ii) In the event an Eligible Winner indicates that he/she is not interested in continuing in the Promotion and claiming his/her Prize, or the Eligible Winner does not attend the call, or is unreachable, BNL & BNTL shall inform him/her that his/her entry in the Promotion stands cancelled and he/she is not eligible to receive his/her Prize. An SMS or a letter confirming the cancellation of entry will be sent to him/her.

(iii) If the Eligible Winner is contacted and interested in continuing in the Promotion and is in possession of the unique codes the caller shall verify the unique code used to enter the Promotion and shall also ask the Eligible Winner to provide details such as first name, surname, address, phone number, mobile number, email address and other details as may be considered necessary by BNL & BNTL.

(iv) The Eligible Winner will be then required to send the following either by Registered Post Acknowledgement Due or via Courier to the address provided below within seven (7) working days of the receipt of format of the Consent to Terms and Conditions:

• All the winning labels used to participate in the promotion containing the Unique Code for the purpose of physical authentication.
• The participant may be required to sign additional documents to avail of the Prize which will be communicated via email by BNL & BNTL. The Eligible Winner will be declared a Confirmed Winner subject to verify such documents.
• A self-attested photocopy of government approved address proof (voter's ID card, driver's license, passport etc.) (together the "Verification/Required Documents").

The names of the confirmed Winners shall be announced on social media or in any manner deemed appropriate by BNL & BNTL, during the Promotion Period once the Eligible Winners have been confirmed and verified.

(v) Please note that BNL & BNTL shall not be liable for any failure in the delivery of the above-mentioned documents on account of an incorrect, inaccurate, erroneous etc. address provided by the Eligible Winner.

(vi) Please note that the costs of sending the Verification/Required Documents shall be borne by the Eligible Winner alone. In addition, the Verification/Required Documents shall be sent by the Eligible Winner in the manner prescribed herein above. The Verification/Required Documents received or delivered through any other mode shall not be accepted and the Prize of the Eligible Winner shall be automatically forfeited. However, BNL & BNTL reserves the right to exercise discretion in this regard and the decision of BNL & BNTL shall be final and binding. The Eligible Winner or any person claiming through him shall have no right to any claim or complaint against BNL & BNTL in this respect.

(vii) No Prize will be awarded if the information presented by the Participant(s) at the time of entering the Promotion, or at any subsequent stage, is not factually correct.

d) The Prizes to the Confirmed Winners shall be awarded subject to production/signing of all such documents/papers (such as identity proof etc.) as required by BNL & BNTL. Apart from the Prizes, Confirmed Winner(s) or their legal heirs will have no other rights or claims against BNL & BNTL.

Clause 9 — Conditions relating to the Prize

a) If any Eligible Winner fails to submit the Verification/Required Documents within the seven (7) day period, commencing from the date on which the winners are chosen publicly, or submits incomplete or illegible documentation or fails to submit any required document, BNL & BNTL shall send an SMS or a call to the Eligible Winner in seven (7) days, reminding him/her to submit the same ("Reminder").

b) No justification/explanation for non-receipt of the verification/Required Documents shall be accepted, including but not limited to, inability of the postal department to deliver the documents on time. However, BNL & BNTL reserves the right to accept late delivery of Verification Documents at its sole and absolute discretion.

c) It is hereby clarified that BNL & BNTL, or its authorized agency shall not be responsible for the Winner(s) having a valid passport (at least 01 (one) year validity period at the time of scheduled travel date), visa, travel insurance or any other such required documentation either from the government of Nepal or the government of the destination country.

d) It is abundantly clarified that BNL & BNTL or any of its authorized Agency will not pay the fee for visa processing. Neither BNL & BNTL nor its authorized agency shall be held liable at any time for the approval or rejection of visa by the immigration authority of destination country for any reason whatsoever. Such liability shall exclusively lie with the Winner(s).

e) The Winner has to travel to Kathmandu airport at their own expenses.

f) BNL & BNTL's authorized agency shall be the on-ground coordinator for the duration of stay and travel.

g) Any addition or deduction of experiences forming part of the trip shall be at the discretion of BNL & BNTL.

h) Any experiences undertaken by any of the Winner(s) during the stay, which does not form part of all expenses paid trip offered by BNL & BNTL shall be solely at the cost, expense and liability of the said Winner and BNL & BNTL or its authorized agency shall not be liable for the same.

i) The Winner(s) shall be liable to comply with the applicable laws of Canada during the duration of stay. BNL & BNTL or its authorized agency shall not be liable for any non-compliance by the Winner(s).

j) The winner shall be liable to comply with any additional rules, regulations, terms and conditions relates to travel/lodging and shall be liable directly for any act or omission by the Winner. It is hereby abundantly clarified that BNL & BNTL, or its authorized agency shall undertake no liability on behalf of the Winner with respect to the same.

k) In the event any Winner(s) is not allowed to enter Canada for any reason whatsoever, specifically for issue arising out of immigration laws, the Agency shall coordinate the return of said winner to Kathmandu via commercial air travel, subject to applicable law of the concerned territory.

l) The Winner(s) shall be responsible for ensuring medical and mental fitness to travel internationally and shall sufficiently disclose any ailments preventing the Winner(s) from availing the Prize at the earliest to its authorized agency. BNL & BNTL or its authorized agency shall not be liable for any medical issues that the Winner may face.

m) BNL & BNTL or its authorized agency will not be held responsible for any alterations to the schedule, delays, or any other changes that may lead to direct or indirect losses for the Winner.

n) BNL & BNTL shall not be held responsible for any deficiency, defect, inadequacy, or irregularity in the Prize(s) mentioned in Clause 7. The Winner(s) may not exchange or assign the Prizes mentioned and shall not be entitled to any compensation whether in cash or kind from BNL & BNTL.

o) No portion of the Prizes mentioned in Clause 7 offered under the Promotion is redeemable for cash or in kind from BNL & BNTL. The Prizes are also not refundable or transferable and cannot be exchanged.

p) No request for change in specifications etc. of allocated Prize(s) mentioned in Clause 7 shall be entertained.

q) No Prize will be awarded if the information presented by the Participant(s) at the time of entering the Promotion, or at any subsequent stage, is factually incorrect.

r) In the event of death of the Winner, no claim from the nominee or his/her legal heirs of the Winner shall be entertained for receiving the Prize(s).

s) The Prize shall be provided to the Winner on an "as-is basis" and without any warranty or guarantee concerning the quality, suitability or comfort, and BNL & BNTL and/or its associates, affiliates and/or its management, directors, officers, agents, representatives shall not be responsible for or liable (including but not limited to the product and service liabilities) for deficiency and/or defect of any product/service and/or the Prize or for any kind of consequential damages/loss, in any manner whatsoever.

t) The image of the Prize depicted on the press ads/posters/TVC's/pack shots etc. are for illustrative purposes only and the actual Prize may vary from the depiction made.

u) It is to be noted that in the event the Winner does not take the Prize mentioned in Clause 7 in the time and manner stipulated, then the Prize shall be forfeited by the Winner and cash or any monetary benefits in kind shall not be awarded in lieu of the Prize.

v) Prizes must be taken as offered and cannot be varied. It is clarified that BNL & BNTL shall not have any liability whatsoever towards the Winner who fails to receive the Prize within the stipulated time in the manner as mentioned in this Terms and Conditions.

Clause 10 — Publicity

The Participants undertake and irrevocably and unconditionally permit BNL & BNTL to cover the Promotion through various media including newspapers, radio, digital media, television including news and other channels, internet, point of sale materials, etc., and shall not raise any objection, protest, or demur whatsoever to such coverage or in this regard. Further, the Participants also understand and agree that their responses may be publicised as part of this Promotion.

Whilst BNL & BNTL shall make all reasonable efforts, there is no obligation on the part of BNL & BNTL to air any entry.

The names and images of the Winners may at discretion of BNL & BNTL be announced on the Promotion Website or in any manner deemed appropriate by BNL & BNTL during or after the Promotion Period once the Winners have been confirmed and verified.

The Winners must, at the request of BNL & BNTL, participate in all promotional activity (such as publicity and photography) surrounding the winning of the Prize, free of charge, and they consent to BNL & BNTL using their name and image in all promotional materials.

Clause 11 — Intellectual Property Rights

All right, title, and interests, including but not limited to the intellectual property rights, in the promotional material(s), and in any and all responses received, or other materials created during or for the Promotion, as a part of the Promotion or otherwise, shall vest solely and exclusively with BNL & BNTL at all times. BNL & BNTL or any person or entity permitted by BNL & BNTL in this regard shall be entitled to use any information in connection with the entry in any media for future promotional, marketing, publicity, and any other purpose, without any permission or payment to the Participant.

All material submitted in connection with the Promotion (whether written, audio, electronic or visual form, or a combination of those) or any photographs, video and/or film footage and/or audio recording taken of Participants are assigned to BNL & BNTL upon submission and become the property of BNL & BNTL exclusively. BNL & BNTL may use the material in any medium in any reasonable manner it sees fit. Copyright in any such material remains the sole property of BNL & BNTL.

Clause 12 — General Conditions

a) Each Participant represents and warrants that he/she is legally competent to enter binding contracts under applicable laws. By taking part and/or entering this Promotion the Participant warrants that all information provided by Participant regarding Participant's name, age, state, city, address, phone number, etc., is true, correct, accurate and complete.

b) Each Participant is required to provide full and accurate details of their name, permanent address, phone number, age and such other details as may be prescribed by BNL & BNTL.

c) BNL & BNTL may, at any time, verify or authorize verification of the Participant's entry (including such Participant's identity, age, place of residence and affiliations) and disqualify any Participant (at any stage of the Promotion) if it is found that such Participant has submitted an entry or any documents that are inconsistent with these Terms.

d) BNL & BNTL may disqualify any Participant if such Participant engages in or it is found that such Participant has engaged in any illegal, unlawful, or improper conduct (regarding the Promotion or otherwise).

e) The decision of BNL & BNTL as regards the selection of valid entries, winners, promotion shall be final. No correspondence or any other claims whatsoever, in this regard will be entertained.

f) BNL & BNTL reserves the right at its sole discretion to cancel, terminate, postpone, modify, or suspend the Promotion in whole or in part at any time including if, for any reason, the Promotion is not capable of running as planned, including due to any technical failure or any other causes beyond the control of BNL & BNTL, Prisma Advertising and will not be liable for any consequential losses/damages. All Winners and/or Participants agree that no claims or complaints may be raised against BNL & BNTL, or any of their affiliates, representatives, associates etc. in this respect. Any decision of BNL & BNTL in this regard and in general with respect to this Promotion and the Terms thereto shall be final, binding, and non-contestable.

g) BNL & BNTL reserves the right to modify or cancel the Prizes offered under this Promotion, at its sole and absolute discretion. The Winners and/or the Participants agree that no claims or complaints whatsoever may be raised against BNL & BNTL, or any of their affiliates, representatives, associates etc. in this respect.

h) Participants shall follow all directions/rules and regulations (whether communicated in written form or verbally) framed by BNL & BNTL at all times in connection with the Promotion. Any deviation or objection by any Participant(s) may result in their disqualification from the Promotion.

i) The Participant(s) hereby undertake to provide and/or execute any documents as may be deemed necessary by BNL & BNTL to effectively carry out his/her/their obligations under the Promotion and/or its Terms.

j) Employees and family members of BNL & BNTL, Prisma Advertising and their associates and affiliates are not eligible to participate in the Promotion.

k) Nothing contained herein amounts to a commitment or representation by BNL & BNTL to conduct further promotions.

l) None of the provisions of these Terms shall be deemed to constitute a partnership or agency between any Participant and BNL & BNTL and the Participant shall not have the authority to bind BNL & BNTL in any manner whatsoever.

m) BNL & BNTL, Prisma Advertising, and other agents of BNL & BNTL shall not be liable to perform any of their respective obligations under the Promotion or in respect of the Prizes where they are unable to do so as a result of circumstances beyond their control in the nature of fire, explosions, natural calamities, state emergency, epidemic, pandemic, riots, government restrictions or any other Force Majeure condition, etc., and shall not be liable to compensate the Winners or the Participants in these circumstances.

n) Failure to exercise or delay in exercising a right or remedy provided hereunder or by law does not constitute a waiver of the right or remedy or waiver of other rights or remedies on the part of BNL & BNTL & Prisma Advertising.

o) Winners and Participants undertake not to, at any time, disclose, reveal, communicate, or otherwise make public any information relating to BNL & BNTL, their respective business, personnel, servants, agents or officers to anyone.

p) BNL & BNTL shall be entitled to demand payment of tax from the confirmed Winner if applicable under the applicable laws of Nepal.

q) BNL & BNTL accepts no responsibility for dropped calls, late, lost, incomplete, incorrectly submitted, delayed, illegible, corrupted, or misdirected entries, communication, documents, claims or correspondence whether due to error, omission, alteration, tampering, unauthorized data hacking, deletion, theft, destruction, virus attack, transmission interruption, communications failure, software failure, hardware failure or otherwise. BNL & BNTL shall not be liable for any consequences of user error including (without limitation) costs incurred. BNL & BNTL is not obliged to inform such a Winner of the disentitlement; however, it may choose to bring the same to the notice of the Winner through any of the means available to it.

r) If a Participant is dissatisfied with the Promotion or the Promotion Terms, their sole and exclusive remedy is not to participate in the Promotion.

s) The general terms and conditions and privacy policy on the Promotion Website shall be applicable in addition to these Terms.

t) BNL & BNTL shall not be required to publish or disclose any personal details about the Winners of the Promotion (excluding the names and images of the Winners which may be published on the Promotion Website), including but not limited to their telephone number, address, etc., as such disclosure shall amount to violation of the privacy rights of Winners.

u) Please note that neither BNL & BNTL, Prisma Advertising or any of its affiliates, representatives etc. shall be responsible for any disruption, disturbance, or disconnection (including dropped calls) in the phone line and/or any undelivered missed call. All such disputes, complaints, and claims shall be raised with the Telecom Service Provider only.

v) These Terms may be altered by BNL & BNTL at its sole and absolute discretion and without any notice to the Winners and/or Participants.

Clause 13 — Release and Limitations of Liability

a) By entering the Promotion, the Participants hereby release from and agree to indemnify BNL & BNTL and/or any of their respective officers/employees from and against all liability, cost, loss or expense arising out of acceptance of the Prize or participation in the Promotion or any consequences of conducting an illegal act including (but not limited to) personal injury and damage to property and whether direct, indirect, consequential, foreseeable, due to some negligent act or omission or non-compliance or alleged non-compliance with these Terms, any other rules, regulations, directives (whether written or verbal) issued by BNL & BNTL or otherwise.

b) BNL & BNTL accepts no liability, whether jointly or severally, for any errors or omissions, whether on behalf of themselves or third parties in relation to the Prizes. BNL & BNTL, and any of their respective parent companies, subsidiaries, affiliates, directors, officers, professional advisors, employees, and agencies will not be responsible for any late, lost, misrouted, garbled or distorted or damaged transmissions or entries.

c) To the fullest extent permitted by law, in no event will BNL & BNTL or any of its officers, servants, employees, representatives and/or agents (including without limitation, any third party service providers that BNL & BNTL may engage for purposes of the Promotion), be liable for any loss or damages (including, without limitation loss of income, profits or goodwill, indirect, incidental, consequential, exemplary, punitive or special damages of any party including third parties) howsoever arising whether in contract, tort, negligence or otherwise, in connection with the Promotion and/or the Promotion prizes, even if BNL & BNTL has been advised of the possibility of such damages in advance, and all such damages are expressly excluded. The Participant shall indemnify, defend, and hold BNL & BNTL harmless in the event of there being any third party/entity/organization claims arising from or related to his/her participation in the Promotion. In no event shall BNL & BNTL be liable to any Participant for acts or omissions arising out of or related to the Promotion or his/her participation in the Promotion.

e) In consideration of BNL & BNTL allowing the Participant(s) to take part in the Promotion, to the maximum extent permitted by law, the Participant(s) waive and release each and every right or claim, all actions, causes of actions (present or future) each of them has or may have against BNL & BNTL, its respective agents, directors, officers, business associates, group companies, sponsors, employees, or representatives for all and any injuries, accidents, or mishaps (whether known or unknown) or (whether anticipated or unanticipated) arising out of the Promotion or related to the Promotion or the Prizes of the Promotion.

Clause 14 — Dispute Resolution and Governing Laws

a) The courts of competent jurisdiction at Kathmandu shall have exclusive jurisdiction to determine any and all disputes arising out of, or in connection with, the Promotion.

b) Participation in the Promotion is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation, this clause.

c) Further all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of the Participants and/or BNL & BNTL and/or partners of this Promotion, shall be governed and construed in accordance with the laws of Nepal.
